Codex provides IT and digital solutions including (but not limited to) web design and development, UI/UX design, software development, mobile app development, IT consulting, maintenance and support, cloud/hosting guidance, cybersecurity guidance, branding, and digital marketing. Specific deliverables, timelines, and pricing will be confirmed in a proposal, statement of work (SOW), or service agreement.
These Terms apply to all visitors, leads, clients, and partners. Additional terms may apply to specific services (e.g., hosting, third-party licenses, maintenance plans) and will be included in the relevant agreement or invoice. In case of a conflict, the signed agreement/SOW will prevail.
Our goal is to deliver reliable, secure, and high-quality technology services. To ensure smooth delivery, projects are executed based on mutually agreed scope and timelines. You are responsible for providing accurate information and timely approvals. Any requested changes to scope, design, or features may require a revised timeline and additional fees.
You agree to use this website for lawful purposes only and in a manner that does not infringe the rights of, restrict, or inhibit anyone else’s use. You must not attempt to gain unauthorized access to the website, servers, or networks, or introduce viruses, malware, or harmful code.
We may update, modify, suspend, or discontinue any part of the website at any time without notice. We do not guarantee that the website will always be available or error-free.
Any content you submit through forms or email (such as project requirements) must be accurate to the best of your knowledge and must not contain unlawful or infringing material.
Services are delivered according to the agreed proposal/SOW. Deliverables may include designs, source code, documentation, deployments, and/or reports depending on the project. Any timeline provided is an estimate unless expressly stated as fixed in writing.
Client requests that are outside the agreed scope (including new features, additional pages, extra revisions, content writing, integrations, or major redesigns) are considered “change requests” and may be billed separately.
Prices are communicated in a proposal or invoice. Unless otherwise agreed, projects may require an upfront deposit and milestone payments. All invoices must be paid by the due date stated on the invoice.
Late payments may lead to a pause in work and/or suspension of related services. Where applicable, reactivation may require additional fees. Deposits and completed milestone payments are non-refundable once work has started, unless a different refund policy is clearly stated in writing.
Third-party costs (domain, hosting, paid plugins, API subscriptions, ads budget, SMS/email gateways, etc.) are the client’s responsibility unless explicitly included in the quotation.
All website content (text, graphics, branding, and layout) is owned by Codex IT Service or used under license. You may not reproduce, distribute, or modify our content without written permission.
For client projects, ownership of final deliverables (such as designs and code) transfers to the client only after full payment, unless otherwise stated in the agreement. Codex may reuse general know-how, non-confidential components, and techniques developed during the project.
If third-party assets or licenses are used (fonts, icons, plugins, stock media, frameworks), they remain subject to the third party’s terms. You are responsible for complying with those licenses.
We apply reasonable technical and organizational measures to protect project data and communications. However, no system can be guaranteed 100% secure. You are responsible for keeping your login credentials confidential and for using secure passwords and access practices.
We retain project files, communications, and backups for as long as necessary for business operations, legal compliance, and support purposes. If you require deletion of specific data (where legally permissible), please contact us in writing.
You agree to maintain backups of your business-critical data. Unless a managed backup service is included in your plan, Codex is not responsible for data loss caused by third-party outages, malware, or client-side actions.
Our services are provided on an “as-is” and “as-available” basis. While we strive for best practices and quality delivery, Codex does not warrant uninterrupted operation, error-free results, or specific outcomes such as guaranteed rankings, sales, or revenue.
To the maximum extent permitted by law, Codex IT Service shall not be liable for indirect, incidental, consequential, or special damages including loss of profits, loss of data, or business interruption. Our total liability for any claim related to a service shall not exceed the amount paid to Codex for that specific service in the three (3) months preceding the event giving rise to the claim.
Our website and solutions may contain links to third-party websites or use third-party tools (e.g., hosting providers, analytics, payment gateways, APIs). We do not control third-party services and are not responsible for their content, performance, availability, or policies.
Any third-party services you choose to use are at your own risk and subject to the third party’s terms.
We may suspend or terminate services if you breach these Terms, fail to make payments, or misuse our systems. You may also terminate a project by written notice. In all cases, you remain responsible for payment for work completed and approved, plus any non-cancellable third-party costs incurred on your behalf.
These Terms are governed by the applicable laws of the jurisdiction in which Codex IT Service operates, unless a different governing law is specified in a signed service agreement.
We may update these Terms from time to time. Updates will be posted on this page with a revised “Updated” date. Continued use of the website or services after changes become effective means you accept the updated Terms.
